Terms of Service

These Terms of Service ("Terms") govern your use of PitchPro360 ("Service"), operated by NWP, LLC, an Arizona limited liability company ("Company", "we", "our").

1. Acceptance of Terms

By accessing or using PitchPro360, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

PitchPro360 provides AI-powered proposal creation and management tools via a web-based SaaS platform. Features include AI-generated proposals, AI Win Score analysis, 20+ industry-specific templates, shareable proposal links with real-time view tracking and analytics, automatic version history, PDF export, and a free educational Proposal Academy with courses on proposal writing and AI techniques.

3. Accounts and Registration

You must provide accurate, complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Subscription Plans and Billing

PitchPro360 offers tiered subscription plans with both monthly and annual billing options. Annual plans offer a 20% discount. Free trials last 30 days. Payment is processed through Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing period.

Individual Plans: Starter and Professional plans include a fixed monthly allocation of AI-generated proposals. Usage beyond your plan's allocation is not permitted — you must upgrade to a higher tier.

Enterprise Volume Plans: Enterprise plans are billed on a graduated volume model with five tiers (E1 through E5), each providing a fixed monthly proposal generation allowance. Per-proposal cost decreases at higher volume tiers. Enterprise plans are designed for business use and may not be resold, sublicensed, or used to provide proposal generation services to third parties. Violation of this provision may result in immediate account termination without refund.

Usage Limits: Each subscription tier includes a specific monthly proposal generation limit. Once your monthly limit is reached, additional proposals cannot be generated until the next billing cycle or until you upgrade to a higher tier. Unused proposal allocations do not roll over to subsequent months.

How Proposal Counts Work (Plain-Language Explanation): Your monthly proposal count goes up by one each time you click the "Generate" button to create a new AI-powered proposal. Editing, saving, sharing, exporting, or viewing an existing proposal does not count against your limit — only the initial generation of a new proposal does. Think of it like printing: you pay for each new print job, but reading or annotating an already-printed document is free. Your count resets to zero at the start of each billing cycle.

5. Enterprise Domain Verification

Enterprise accounts require company domain verification. All team members invited to an Enterprise workspace must use email addresses from the same verified company domain. Free email providers (such as Gmail, Yahoo, Hotmail, Outlook.com, and similar services) are not permitted for Enterprise team accounts. This requirement ensures legitimate business use and prevents unauthorized reselling of the Service.

6. AI-Generated Content

AI-generated proposal content is provided as a starting point and should be reviewed and verified before use. We do not guarantee the accuracy, completeness, or suitability of AI-generated content. You are responsible for reviewing and approving all content before sharing with clients. AI Win Scores are predictive estimates and do not guarantee proposal outcomes.

7. Content Protection and Anti-Abuse

Draft Watermarking: Proposals in Draft status may display a watermark overlay indicating their draft nature. This watermark is removed when the proposal is published or finalized.

Copy Protection: Draft proposal content may include copy-protection measures to prevent unauthorized reproduction. These measures are intended to protect the integrity of AI-generated content and discourage misuse.

Rate Limiting: To ensure fair usage and platform stability, proposal generation is subject to rate limits. Excessive or automated generation requests may be throttled or blocked. Attempting to circumvent rate limits or automated usage restrictions is a violation of these Terms.

Anti-Reselling: You may not resell, redistribute, white-label, or sublicense proposals generated through PitchPro360. The Service is for your direct business use only. Accounts suspected of reselling activity may be suspended pending investigation.

8. Draft Auto-Archival and Deletion

To maintain platform performance and encourage active proposal management, the following data lifecycle policy applies to Draft proposals:

Auto-Archival (90 Days): Proposals in Draft status that have not been modified for 90 consecutive days will be automatically archived. Archived proposals remain accessible and can be restored to active status at any time.

Auto-Deletion (180 Days): Draft proposals that have not been modified for 180 consecutive days may be permanently deleted. Deleted proposals cannot be recovered. We recommend publishing or finalizing important proposals to prevent automatic deletion.

Published, finalized, and actively-edited proposals are not subject to auto-archival or deletion. You will receive visual warnings in your dashboard as drafts approach archival and deletion thresholds.

How Long Are My Proposals Saved? (Plain-Language Explanation): If you publish or finalize a proposal, it is saved indefinitely — we will not delete it. Only Draft proposals that you have not touched in a very long time are affected: after 90 days of inactivity a draft is archived (still recoverable), and after 180 days it may be permanently removed. To keep a draft safe, simply open and save it, or publish it. Active proposals you are working on are never at risk.

9. Intellectual Property

You retain ownership of all content you create using PitchPro360, including AI-assisted proposals. We retain ownership of the platform, its technology, educational course content in the Proposal Academy, branding, and all related intellectual property. Proposal Academy content may not be reproduced or distributed without permission.

10. Proposal Sharing & Analytics

When you share a proposal via a public link, anyone with the link can view the proposal. View tracking collects anonymized data (device type, location, engagement metrics) to help you understand how recipients interact with your proposals. You are responsible for sharing links only with intended recipients. You can revoke shared links at any time.

11. Acceptable Use

You agree not to use the Service for any unlawful purpose, to infringe on intellectual property rights, to transmit harmful code, to interfere with the Service's operation, to circumvent content protection or rate limiting measures, or to use automated tools to access the Service without authorization.

12. Version History

PitchPro360 automatically creates version snapshots when you save changes to your proposals. Version history is provided for your convenience and may be subject to storage limits based on your subscription plan.

13. Limitation of Liability

To the maximum extent permitted by law, NWP, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

14. Governing Law

These Terms shall be governed by the laws of the State of Arizona, without regard to conflict of law provisions.
